- the Franovo software platform;
- Franovo web applications, dashboards and portals;
- demonstration and trial environments;
- integrations, APIs and connected services;
- related support, implementation and online services,
collectively, the “Services.”
Franovo is operated by New Development Consulting Company (شركة التطوير الجديد للاستشارات) under the Franovo brand.
For purposes of these Terms, “Franovo,” “we,” “us,” and “our” refer to New Development Consulting Company and, where applicable, its affiliates, contractors, licensors and service providers.
“Customer,” “you,” and “your” refer to the individual, company, franchise network, franchisor, franchisee, operator or other organization accessing or using the Services.
By accessing the Website, requesting a demonstration, creating an account, beginning a trial, purchasing a subscription or otherwise using the Services, you agree to these Terms.
If you access or use Franovo on behalf of an organization, you represent that you have authority to act on behalf of and bind that organization.
If you do not agree to these Terms, you must not use the Services.
2. About Franovo

Depending on the Customer’s subscription, configuration and available features, Franovo may provide functionality relating to:
- franchise expansion;
- new-location opening workflows;
- franchise operations;
- tasks and responsibilities;
- operating procedures and brand standards;
- compliance;
- inspections and digital audits;
- corrective actions;
- training and knowledge management;
- documents and files;
- analytics and reporting;
- performance monitoring;
- royalty management;
- financial workflows;
- notifications and reminders;
- collaboration;
- workflow automation;
- integrations; and
- other franchise-management functionality introduced from time to time.
Features may vary according to plan, Customer configuration, number of users or locations, technical availability and any separate written agreement.
3. Business Use
Franovo is primarily intended for business and professional use.
Users may include:
- franchisors;
- franchisees;
- franchise operators;
- management teams;
- employees;
- contractors;
- consultants; and
- other Authorized Users.
You must be legally capable of entering into a binding agreement to use the Services.
Nothing in these Terms creates a franchise agreement, partnership, employment relationship, joint venture, fiduciary relationship or agency between Franovo and a Customer or Authorized User.
4. Additional Agreements
Certain Customers may enter into additional agreements with Franovo, including:
- Order Forms;
- Master Services Agreements;
- enterprise agreements;
- Statements of Work;
- implementation agreements;
- Service Level Agreements;
- Data Processing Agreements; or
- other written commercial agreements.
If a separately executed written agreement conflicts with these Terms, the separately executed agreement will control to the extent of the conflict.
5. Accounts
Certain Services require an account.
You must provide accurate, current and complete information when creating and maintaining an account.
You are responsible for:
- maintaining the confidentiality of login credentials;
- using appropriate security practices;
- restricting unauthorized access;
- keeping account information current;
- managing user access;
- promptly disabling users who should no longer have access; and
- notifying Franovo of suspected unauthorized access.
You must not:
- impersonate another person;
- submit false information;
- share credentials with unauthorized persons;
- access another Customer’s environment without authorization; or
- attempt to bypass account or security controls.
Franovo may require email, domain, organization or identity verification before granting access to certain Services.
6. Customer Administrators
Customers may designate administrators who can manage their Franovo environment.
Depending on their permissions, administrators may be able to:
- invite or remove users;
- assign roles;
- configure permissions;
- manage locations;
- access reports;
- view Customer Content;
- configure workflows;
- manage documents;
- manage integrations; and
- change organization settings.
The Customer is responsible for determining who receives administrator privileges and what information each user may access.
Franovo may rely on instructions and actions taken through authorized administrator accounts unless there is reasonable evidence that an account has been compromised.
7. Organization-Controlled Accounts and Visibility
Where a Franovo account is provided or managed by an employer, franchisor, franchisee, headquarters team or other Customer organization, that organization may control the account and may have access to information generated through its Franovo environment.
Depending on permissions and features, authorized administrators may be able to view information relating to users, locations and activities, including:
- tasks;
- audit and inspection results;
- corrective actions;
- training progress;
- documents;
- comments;
- operational information;
- reports;
- performance metrics; and
- other workspace activity.
Customers are responsible for informing their Authorized Users about appropriate monitoring and access practices and for having any notices, permissions or lawful basis required by applicable law.
Franovo does not determine the Customer’s internal employment, franchise or access-control policies.
8. Authorized Users
Customers may provide access to employees, franchisees, managers, contractors and other approved users where permitted by their subscription.
The Customer is responsible for:
- identifying Authorized Users;
- ensuring they have a legitimate reason to access the Services;
- assigning appropriate permissions;
- keeping access rights current; and
- ensuring Authorized Users comply with these Terms.
Actions performed by Authorized Users within the Customer’s environment may be treated as actions of the Customer.
9. License
Subject to these Terms and payment of applicable fees, Franovo grants the Customer a limited, non-exclusive, non-transferable and non-sublicensable right to access and use the Services during the applicable subscription or trial period for legitimate internal business purposes.
No ownership of Franovo software, technology or intellectual property is transferred to the Customer.
All rights not expressly granted are reserved.
10. Acceptable Use
You must use Franovo only for lawful and authorized purposes.
You must not:
(a) violate applicable law;
(b) infringe intellectual property, privacy, confidentiality or other rights;
(c) introduce malicious software;
(d) disrupt the security or availability of the Services;
(e) attempt unauthorized access to accounts, databases or infrastructure;
(f) bypass authentication, permissions, subscription limits or security controls;
(g) scrape, crawl or systematically extract data without authorization;
(h) reverse engineer or attempt to obtain Franovo source code except where expressly permitted by law;
(i) reproduce or distribute Franovo software without authorization;
(j) resell, sublicense or commercially exploit the Services without written permission;
(k) allow unauthorized third parties to use the Services;
(l) use Franovo primarily to develop or assist a competing product;
(m) submit fraudulent or unlawful content; or
(n) process information through Franovo that you are not legally authorized to process.
Franovo may investigate suspected misuse and take reasonable protective action.
11. Customer Content
“Customer Content” means information, data, documents, files and materials submitted to or processed through Franovo by or on behalf of a Customer.
Customer Content may include:
- user information;
- franchise and location information;
- operating procedures;
- policies and standards;
- tasks;
- audit and inspection records;
- corrective actions;
- training information;
- uploaded documents and images;
- comments and communications;
- operational information;
- sales or revenue inputs;
- royalty information;
- reports; and
- other business information.
As between Franovo and the Customer, the Customer retains ownership of Customer Content.
12. Franovo’s Right to Process Customer Content
The Customer grants Franovo a worldwide, non-exclusive right to host, store, copy, transmit, organize, analyze and otherwise process Customer Content only as reasonably necessary to:
- provide the Services;
- operate and maintain the platform;
- provide support;
- provide requested functionality;
- operate integrations;
- maintain security;
- prevent fraud and misuse;
- troubleshoot issues;
- comply with law; and
- fulfill Franovo’s obligations under applicable agreements.
Franovo does not acquire ownership of Customer Content merely because it is processed through the Services.
13. Customer Responsibility for Customer Content
The Customer is responsible for the accuracy, legality and appropriateness of Customer Content.
The Customer represents that it has all necessary rights, permissions, notices, consents and other lawful grounds required to:
- collect the information;
- upload it to Franovo;
- allow Franovo to process it;
- make it available to Authorized Users; and
- use it for the purposes configured by the Customer.
This includes information relating to employees, franchisees, contractors, customers or other individuals.
14. Privacy and Data Protection
Franovo processes personal information in accordance with the **Franovo Privacy Policy** and applicable law.
Depending on the circumstances, Franovo may process personal information as a processor on behalf of a Customer or for Franovo’s own legitimate business purposes.
Where required, Franovo and a Customer may enter into a separate Data Processing Agreement.
Customers remain responsible for determining whether their use of Franovo complies with applicable privacy and employment requirements.
15. Confidential Information
Each party may receive confidential or proprietary information belonging to the other party.
Confidential Information may include:
- Customer Content;
- business plans;
- franchise information;
- financial information;
- operating procedures;
- pricing;
- credentials;
- security information;
- product plans;
- software;
- technology; and
- trade secrets.
Each party will:
- use Confidential Information only for appropriate purposes;
- apply reasonable safeguards;
- restrict access to persons with a legitimate need to know; and
- not disclose it to unauthorized third parties.
These obligations do not apply to information that:
- becomes public without breach;
- was lawfully known beforehand;
- is lawfully received from another source; or
- is independently developed.
Disclosure may be made where required by law.
16. Demonstrations and Proofs of Concept
Franovo may provide demonstrations, pilots or configured proof-of-concept environments.
Demonstrations are provided for evaluation purposes.
A demonstration does not guarantee that every demonstrated:
- feature;
- integration;
- workflow;
- configuration;
- timeline; or
- result
will be included in a final commercial subscription.
The final scope will be determined by the applicable commercial agreement.
17. Free Trials
Franovo may offer eligible Customers a 14-day free trial.
Eligibility may be determined by Franovo based on business requirements, network size, intended use and technical or commercial considerations.
A trial may contain:
- limited functionality;
- usage limits;
- limited users or locations;
- experimental functionality; or
- other restrictions.
A free trial does not automatically convert into a paid subscription unless the Customer affirmatively subscribes or agrees to paid commercial terms.
Franovo may discontinue or restrict a trial where reasonably necessary.
Customers should export information they require before a trial expires.
18. Subscription Plans
Franovo may offer both:
- monthly subscriptions; and
- annual subscriptions.
Applicable fees, user limits, location limits, functionality, onboarding costs, implementation costs and other commercial terms will be stated in an Order Form, proposal, invoice or other written agreement.
19. Automatic Renewal
Unless otherwise stated in a written agreement, paid subscriptions automatically renew.
Monthly Plans
Monthly subscriptions renew for successive monthly periods unless cancelled before the next billing date.
Cancellation becomes effective at the end of the current paid billing period.
Annual Plans
Annual subscriptions renew for successive annual periods unless the Customer provides notice of cancellation at least 30 days before the renewal date.
Where cancellation notice is provided after that deadline, the renewal may proceed unless Franovo agrees otherwise.
Franovo may provide renewal reminders but failure to receive a reminder does not remove an agreed renewal obligation.
20. Pricing Changes
Franovo may change subscription pricing for future renewal periods.
Where a price change affects an existing paid Customer, Franovo will provide reasonable advance notice.
A price change will not retroactively change fees already agreed for a current committed subscription period.
21. Fees and Taxes
Customers must pay fees according to the applicable invoice or commercial agreement.
Unless otherwise stated:
- fees exclude applicable taxes;
- Customers are responsible for applicable duties, taxes or government charges other than taxes on Franovo’s own income; and
- invoices must be paid by the stated due date.
22. Refunds
Except where required by applicable law or expressly agreed in writing:
payments and subscription fees are non-refundable.
Cancellation stops future renewal but does not normally create a right to a refund for:
- unused time;
- unused users;
- unused locations;
- unused functionality; or
- early termination during a paid subscription period.
23. Late Payment and Non-Payment
If an undisputed amount remains unpaid:
- Franovo may notify the Customer that payment is overdue.
- The Customer will generally have 7 days after notice to remedy the non-payment.
- If payment remains overdue, Franovo may suspend access to all or part of the Services.
- If payment remains outstanding for 30 days, Franovo may terminate the affected subscription.
Franovo may restore access following payment of outstanding amounts where appropriate.
These rights do not limit any other contractual or legal remedies available to Franovo.
24. Implementation
Some Customers may require onboarding, configuration, migration, workflow setup, training or integration assistance.
Customers must provide reasonable information, decisions, access and cooperation required for implementation.
Unless expressly guaranteed in writing, implementation dates are estimates rather than guaranteed completion dates.
Delays caused by missing Customer information or approvals may affect implementation timelines.
25. Expansion and Location-Opening Workflows
Franovo may help Customers manage new-location development and opening activities.
Franovo provides workflow and coordination technology.
Franovo does not guarantee:
- site approval;
- licensing approval;
- construction completion;
- recruitment;
- regulatory approval;
- landlord approval;
- achievement of opening deadlines; or
- commercial success of a location.
Customers remain responsible for their expansion decisions and obligations.
26. Operations
Franovo may allow Customers to manage:
- procedures;
- tasks;
- standards;
- checklists;
- responsibilities;
- escalations; and
- operational workflows.
Franovo does not operate Customer locations or assume responsibility for daily franchise operations merely because the Services are used to coordinate those activities.
27. Audits, Inspections and Compliance
Franovo may provide technology for:
- digital audits;
- inspections;
- compliance assessments;
- evidence collection;
- scoring;
- findings;
- corrective actions;
- issue tracking; and
- follow-up.
Franovo does not independently certify that:
- a location is legally compliant;
- an audit is complete;
- submitted evidence is accurate;
- a franchisee satisfies a contract;
- a corrective action resolves a regulatory issue; or
- a Customer satisfies a certification standard.
Customers remain responsible for establishing standards, validating evidence, reviewing findings, taking corrective actions and obtaining appropriate professional advice.
28. Training and Knowledge Management
Franovo may provide tools for managing:
- training;
- assessments;
- operating manuals;
- policies;
- procedures;
- knowledge resources; and
- completion records.
Unless content is expressly supplied by Franovo, the Customer is responsible for its accuracy, legality and suitability.
Training completion or assessment results within Franovo do not themselves constitute regulatory or professional certification unless expressly stated.
29. Royalty and Financial Workflows
Franovo may provide functionality relating to:
- sales information;
- revenue;
- royalty percentages;
- royalty calculations;
- recurring charges;
- fee calculations;
- payment status;
- reconciliations; and
- financial reporting workflows.
These features may depend on information and rules supplied or configured by the Customer.
The Customer is responsible for verifying:
- sales values;
- revenue;
- royalty rates;
- deductions;
- contractual fees;
- taxes;
- accounting treatment;
- payment obligations; and
- final calculations.
Franovo is not an accountant, auditor, bank, payment institution, tax adviser, financial adviser or investment adviser.
Franovo reports and calculations are operational tools and should be independently reviewed where appropriate.
30. Analytics and Reports
Franovo may generate:
- dashboards;
- reports;
- metrics;
- scores;
- trends;
- comparisons; and
- other analytics.
Outputs may depend on Customer data, configuration and integrations.
Customers should independently review important information before relying on it for material decisions.
Unless expressly agreed, Franovo reports are not guaranteed to satisfy accounting, tax, legal, regulatory or audit requirements.
31. AI and Automated Features
Franovo may provide AI-assisted, analytical, rules-based or automated functionality.
Such functionality may assist with:
- summaries;
- classifications;
- recommendations;
- prioritization;
- analysis;
- draft content; or
- workflow automation.
Automated output may contain errors, omissions or inaccuracies.
Customers must apply appropriate human judgment.
AI or automated output should not be the sole basis for decisions with significant:
- legal;
- financial;
- employment;
- safety;
- regulatory;
- franchise-enforcement; or
- contractual
consequences.
No AI Training on Customer Content
Franovo does not use Customer Content, Confidential Information or personal data submitted through the Services to train generalized artificial intelligence or machine-learning models.
Franovo does not authorize third-party AI providers to use such Customer Content for generalized model training on Franovo’s behalf.
32. Third-Party Integrations
Franovo may integrate with third-party services including calendars, cloud services, communication platforms, identity providers, accounting systems, analytics services and other business software.
Where a Customer or user enables an integration, they authorize Franovo to exchange the information reasonably necessary to provide that integration.
Third-party services are subject to their own terms and policies.
Franovo does not control and cannot guarantee:
- third-party availability;
- API availability;
- third-party pricing;
- third-party security;
- continued compatibility; or
- uninterrupted operation.
Franovo may modify or discontinue an integration where a third-party service changes or becomes unavailable.
33. Google Services
Where a user chooses to connect a Google service, such as Google Calendar, the user authorizes Franovo to access only the Google information and permissions necessary to provide the requested user-facing feature.
The specific permissions requested will be presented through the applicable Google authorization process.
Users may revoke Google access through applicable Franovo or Google account controls.
Use of Google services is also subject to Google’s applicable terms and policies.
34. Notifications and Communications
Franovo may send operational and service-related communications, including:
- account notices;
- user invitations;
- task reminders;
- audit alerts;
- training reminders;
- security notifications;
- billing notices;
- service updates; and
- other communications necessary to operate the Services.
These are separate from optional marketing communications.
35. Activity and Security Records
Franovo may maintain reasonable system, access and activity records for purposes including:
- security;
- troubleshooting;
- support;
- fraud prevention;
- platform integrity;
- investigating incidents; and
- enforcing these Terms.
Such records may include activity timestamps, changes, account actions and technical information as described in the Privacy Policy.
36. Imports and Exports
Customers may be able to import or export information depending on available functionality.
The Customer is responsible for ensuring it has the legal right to import information about other people or organizations.
Exported information remains subject to applicable confidentiality, privacy and security obligations.
Customers are responsible for securing information after it is downloaded from Franovo.
37. Service Availability
Franovo will use commercially reasonable efforts to provide reliable Services.
Unless a separate Service Level Agreement expressly provides otherwise, Franovo does not guarantee a specific uptime percentage.
Services may be unavailable because of:
- maintenance;
- updates;
- technical failures;
- third-party outages;
- internet or telecommunications failures;
- security incidents; or
- circumstances beyond Franovo’s reasonable control.
38. Changes to the Services
Franovo may improve, modify, add, replace or discontinue features.
Where a change materially reduces core paid functionality during a committed subscription period, Franovo will use commercially reasonable efforts to provide reasonable notice or an appropriate alternative.
39. Security
Franovo will use commercially reasonable administrative, organizational and technical safeguards designed to protect the Services and Customer Content.
No internet-based service can be guaranteed to be completely secure.
Customers are responsible for security within their own environment, including:
- credentials;
- devices;
- user permissions;
- account management; and
- internal access practices.
Customers must promptly notify Franovo of suspected unauthorized access.
40. Data Export Following Termination
Following expiration or termination of a paid Customer subscription, Franovo intends to provide a 30-day period during which the Customer may request or perform available exports of Customer Content, subject to security, technical and legal restrictions.
Access during this period may be restricted or read-only.
Customers are responsible for exporting information they wish to retain.
41. Data Deletion Following Termination
After the 30-day export period ends, Franovo may begin deleting Customer Content from active production systems.
Franovo targets completion of ordinary active-system deletion within approximately 30 additional days, subject to:
- technical requirements;
- security requirements;
- legal obligations;
- dispute preservation;
- fraud prevention; and
- contractual requirements.
Residual copies contained in backups may remain until overwritten or expired through normal backup cycles, with a target maximum period of approximately 90 days after deletion from active systems, unless longer retention is required by law.
Limited information may be retained for legitimate purposes such as:
- financial records;
- contractual records;
- legal claims;
- security records;
- fraud prevention; and
- regulatory obligations.
A Customer does not have a general contractual right to require accelerated deletion of an entire Customer environment outside Franovo’s normal termination process, except where deletion is required under applicable data-protection law or another binding legal requirement.
42. Intellectual Property
Franovo and its licensors retain all rights, title and interest in:
- the Franovo name and brand;
- trademarks;
- software;
- source code;
- object code;
- platform architecture;
- databases and database structures;
- interfaces;
- designs;
- algorithms;
- workflows developed by Franovo;
- APIs;
- documentation;
- templates;
- analytics technology;
- improvements;
- modifications; and
- updates.
No rights are transferred except the limited license expressly granted under these Terms.
43. Customer Intellectual Property
Customers retain ownership of their own:
- trademarks;
- documents;
- operating manuals;
- standards;
- policies;
- training materials;
- photographs;
- franchise materials; and
- proprietary business information.
Customers grant Franovo only the rights necessary to process those materials in order to provide the Services.
44. Feedback
If a Customer voluntarily provides suggestions, ideas or feature requests, Franovo may use that feedback to develop and improve its products without compensation.
This does not transfer ownership of Customer Content or Confidential Information.
45. Beta and Preview Features
Franovo may make beta, preview, early-access or experimental functionality available.
Such functionality may:
- contain errors;
- change without notice;
- be incomplete;
- have limited support; or
- be discontinued.
Beta functionality should not be relied on as the sole basis for critical business processes unless otherwise agreed.
46. No Professional Advice
Franovo provides software and technology.
Nothing provided through Franovo constitutes:
- legal advice;
- financial advice;
- tax advice;
- accounting advice;
- investment advice;
- regulatory advice;
- employment advice; or
- franchise legal advice.
Customers should obtain appropriate professional advice where necessary.
47. No Business Outcome Guarantee
Franovo does not guarantee:
- increased profitability;
- increased revenue;
- successful franchise expansion;
- successful location openings;
- improved compliance;
- particular audit results;
- successful royalty collection;
- franchisee performance; or
- any particular commercial result.
48. Disclaimers
To the maximum extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.
Except where expressly agreed in writing, Franovo disclaims warranties regarding:
- merchantability;
- fitness for a particular purpose;
- non-infringement;
- accuracy;
- availability;
- reliability; and
- suitability for a particular Customer requirement.
Franovo does not warrant that:
- the Services will always be uninterrupted;
- every defect will be corrected;
- reports will always be accurate;
- calculations will always be correct;
- integrations will remain available; or
- use of Franovo alone will satisfy legal or contractual obligations.
49. Limitation of Liability
To the maximum extent permitted by law, Franovo, New Development Consulting Company and their affiliates, officers, directors, employees, contractors, agents and licensors will not be liable for:
- indirect damages;
- incidental damages;
- consequential damages;
- punitive damages;
- special damages;
- loss of profits;
- loss of revenue;
- loss of anticipated savings;
- loss of opportunity;
- loss of goodwill;
- business interruption; or
- loss or corruption of data,
arising out of or relating to the Services or these Terms.
To the maximum extent permitted by law, Franovo’s total aggregate liability arising from the Services or these Terms will not exceed the total fees actually paid by the Customer to Franovo during the 12 months immediately preceding the event giving rise to the claim.
For a claim relating solely to a free Service or free trial, Franovo’s total aggregate liability will not exceed USD 100 or its equivalent.
Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.
50. Indemnification
To the extent permitted by law, the Customer will indemnify and hold harmless Franovo and its affiliates, directors, officers, employees, contractors and service providers against claims and losses arising from:
- Customer Content;
- breach of these Terms;
- unlawful use of the Services;
- violation of third-party rights;
- failure to obtain required permissions or notices;
- fraudulent or unlawful activity; or
- misuse by the Customer or its Authorized Users.
This does not require indemnification for losses caused solely by Franovo’s own fraud, intentional misconduct or other liability that cannot lawfully be excluded.
51. Suspension
Franovo may suspend access where reasonably necessary because of:
- non-payment;
- material breach;
- security risk;
- unauthorized access;
- unlawful activity;
- fraud;
- misuse;
- risk to other Customers; or
- legal requirements.
Where reasonably practicable, Franovo will provide notice before suspension.
Immediate action may be taken where necessary to address an urgent legal or security risk.
52. Termination
Either party may terminate the Services according to the applicable subscription or written commercial agreement.
Franovo may terminate access for material breach following reasonable notice and an opportunity to remedy the breach where appropriate.
Franovo may terminate immediately where continued use would be unlawful, fraudulent or create a serious security risk.
Termination does not remove outstanding payment obligations.
53. Privacy and Cookies
Franovo’s processing of personal information is described in the Franovo Privacy Policy.
Cookies and similar technologies may be addressed in the Franovo Cookie Policy or applicable cookie notice.
54. Compliance With Applicable Laws
Each party is responsible for complying with laws applicable to its activities.
Customers must not use Franovo in violation of applicable:
- privacy laws;
- intellectual-property laws;
- employment laws;
- franchise regulations;
- financial reporting requirements;
- sanctions;
- anti-bribery laws;
- tax laws; or
- other legal requirements.
Where mandatory laws in a Customer’s country apply and cannot lawfully be excluded, those mandatory protections remain applicable.
55. Force Majeure
Neither party will be liable for delay or failure caused by events outside its reasonable control, including:
- natural disasters;
- war;
- civil unrest;
- government action;
- major internet outages;
- telecommunications failures;
- widespread power failure;
- major cloud-provider outages;
- epidemics; or
- similar circumstances.
This does not excuse payment obligations for Services already provided.
56. Changes to These Terms
Franovo may update these Terms to reflect changes to:
- the Services;
- law;
- technology;
- security;
- operations; or
- commercial practices.
Updated Terms will be posted with a revised Last Updated date.
Where a material change affects an existing paid Customer, Franovo will provide reasonable notice where appropriate or legally required.
57. Governing Law
These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to conflict-of-law principles.
Nothing in this section limits mandatory rights under applicable law that cannot legally be excluded.
58. Jurisdiction
The parties will first use reasonable efforts to resolve disputes informally.
If a dispute cannot be resolved, disputes arising from these Terms or the Services will be subject to the competent courts of Amman, Hashemite Kingdom of Jordan, unless:
- another dispute procedure is agreed in writing; or
- mandatory applicable law requires otherwise.
59. General Terms
Entire Agreement
These Terms together with applicable Order Forms and written agreements constitute the agreement relating to the Services.
Severability
If a provision is invalid or unenforceable, the remaining provisions remain effective.
No Waiver
Failure to enforce a right does not waive that right.
Assignment
Customers may not assign these Terms without Franovo’s written consent unless otherwise agreed.
Franovo may assign these Terms in connection with a merger, acquisition, restructuring or sale of relevant assets.
Relationship
The parties are independent contractors.
Electronic Communications
